CONSTITUTION AND BY-LAWS

FOR THE PURPOSE OF ESTABLISHING AND MAINTAINING A PLACE FOR SOCIAL, HUNTING, SHOOTING AND FISHING SPORTS.

WE, WHOSE NAMES APPEAR UPON THE CLUB ROSTER UNDER THE ABOVE DATE, DO HEREBY RECOGNIZE OURSELVES AS A LOCAL SPORTSMENS CLUB AND ADOPT THE FOLLOWING ARTICLES OF ORDER AND SUBMIT OURSELVES TO BE GOVERNED BY THEM.

1. NO ADDITIONS, ALTERATIONS OR AMENDMENTS CAN BE MADE TO THIS CONSTITUTION, OR ANY PART OF IT REPEALED, EXCEPT BY A TWO-THIRDS (2/3) VOTE OF THE MEMBERS PRESENT AT TWO (2) CONSECUTIVE MEETINGS OF THE CLUB.

 

1. INSTALLATION OF OFFICERS

AT THE INSTALLATION OF EACH OFFICER, HE/SHE SHALL BE REQUIRED TO MAKE THE FOLLOWING AFFIRMATION: 

I DO HEREBY SOLEMLY PROMISE THAT I WILL PERFORM THE DUTIES OF MY OFFICE TO THE BEST OF MY ABILITY. AT THE END OF EACH TERM OF OFFICE I WILL TURN MY BOOKS OVER TO MY SUCCESSOR FOR HIS/HER APPROVAL AND ACCEPTANCE.

2. INITIATION OF NEW MEMBERS: 

THE FOLLOWING AFFIRMATION OF NEW MEMBERS IS REQUIRED AFTER HE/SHE HAS READ AND SIGNED THE CONSTITUTION AND BY-LAWS:

I DO SOLEMNLY PROMISE THAT I WILL OBSERVE AND OBEY ALL THE LAWS, RULES AND REGULATIONS SET DOWN BY THE BUCKSHORN SPORTSMENS CLUB, AND I WILL ENDEAVOR TO PROMOTE THE WELFARE OF THE CLUB.

ARTICLE I. NAME

A. THE NAME OF THE CLUB SHALL BE: THE BUCKSHORN SPORTSMENS CLUB (BSC).

ARTICLE II. CLUB RIGHTS.

A. THIS CLUB SHALL HAVE THE RIGHT TO GOVERN ITSELF ACCORDING TO THE STANDARDS SET FORTH IN ITS CONSTITUTION AND BY-LAWS.

B. THE BSC SHALL HAVE THE RIGHT TO PURCHASE OR ACQUIRE BY GIFT, REQUEST, AND/OR OTHERWISE, EITHER DIRECTLY OR AS A TRUSTEE, AND TO OWN, HOLD IN TRUST, USE, SELL, MORTGAGE, LEASE OR OTHERWISE DISPOSE OF ANY REAL ESTATE AS MAY BE NECESSARY FOR THE ADVANCEMENT OF ITS PURPOSE. ALL IN ACCORDANCE WITH ITS OWN CONSITUTION AND BY-LAWS OR AS THE SAME AS HERE AFTER MAY BE MODIFIED OR AMENDED.

ARTICLE III. MEMBERSHIP DEFINITION.

THE MEMBERSHIP OF BSC SHALL BE CONFINED TO PERSONS OF SOUND MIND AND CHARACTER. THEY MUST BE EIGHTEEN (18) YEARS OF AGE.

A. ACTIVE MEMBER- IS ONE WHO, KEEPS HIS/HER DUES PAID UP, IS ASSIGNED A WORK ASSIGNMENT AND MAINTAINS HIS/HER JOB TO THE BEST OF HIS/HER ABILITY. (The term " WORK ASSIGNMENT" includes committees and/or club functions)

B. LIFETIME MEMBER- SHALL BE AWARDED TO THOSE WHO HOLD ACTIVE MEMBERSHIP AND ARE DEEMED DESERVING OF THIS HONOR AT THREE (3) GENERAL MEMBERSHIP MEETINGS. THEY SHALL HAVE FULL EQUITY AND VOTING RIGHTS IN THE CLUB. THEY MAY HOLD OFFICE.

C. HONORARY LIFETIME MEMBER- SHALL BE AWARDED TO THOSE WHO ARE NOT PRESENTLY A MEMBER BUT CONTRIBUTE SOMETHING BENEFICIAL TO THE CLUB. THEY WOULD ENJOY ALL THE BENEFITS OF THE CLUB BUT HOLD NO EQUITY OR PROPERTY RIGHTS IN THE CLUB.

D. NAMES FOR CONSIDERATION FOR LIFETIME AND HONORARY LIFETIME MEMBERSHIP MUST MEET THE APPROVAL OF THE BOARD OF TRUSTEES AND RECEIVE NINETY-FIVE (95%) PERCENT APPROVAL AT THREE (3) REGULAR MEMBERSHIP MEETINGS. 

E. ANY MEMBER ON ACTIVE MILITARY SERVICE WILL NOT BE REQUIRED TO PAY DUES FOR THE DURATION OF THEIR ENLISTMENT. 

F. COMPLIMENTARY MEMBERSHIP- LIMITED MEMBERSHIP GIVEN IN LIEU OF PAYMENT FOR GOODS AND/OR SERVICES. NOMINATION MUST BE PRESENTED AND ACCEPTED BY THE TRUSTEES AND GENERAL MEMBERSHIP. 

G. ONE-DAY MEMBERSHIP- REQUIRED FOR NON-MEMBER PARTICIPATION IN CLUB SHOOTING EVENTS, FOR INSURANCE PURPOSES. ONE DAY MEMBERS MAY NOT VOTE, HOLD OFFICE, OR BRING GUESTS TO THE CLUB. THEY SHALL HAVE NO EQUITY OR PROPERTY RIGHTS IN THE CLUB.

ARTICLE IV MEMBERSHIP DUTIES, RIGHTS, RESPONSIBILITIES. 

A. NEW MEMBERS- SHALL SECURE ONE (1) YEAR IN BSC BEFORE BEING ELIGIBLE TO HOLD OFFICE OR VOTE. HE/SHE MUST AGREE TO SUPPORT THE CLUB AND PAY ALL LEGAL DUES AS LONG AS HE/SHE REMAINS A MEMBER. 

B. A NEW MEMBER MUST MAINTAIN FIVE (5) CONSECUTIVE YEARS OF MEMBERSHIP TO HOLD EQUITY IN THE CLUB.

C. NEW MEMBERS ARE REQUIRED TO PAY ANY DUES AND INITIATION FEES WITHIN THIRTY (30) DAYS OF ACCEPTANCE (Reference Article VI Section E).

D. WHEN A MEMBER SPONSORS A CANDIDATE FOR MEMBERSHIP HE/SHE SHALL SUBMIT CANDIDATE'S NAME, ADDRESS, PHONE NUMBER AND AGE.

E. ANY CANDIDATE FOR MEMBERSHIP RECEIVING FIVE (5) OR MORE NEGATIVE VOTES WILL BE DENIED MEMBERSHIP TO BSC. HE/SHE MAY REAPPLY AFTER SIX (6) MONTHS.

 F. ACTIVE MEMBERS OF BSC SHALL BE LIMITED TO THE FACILITIES OF THE CLUB AND ITS PROPERTY, GOVERNED BY THE BOARD OF TRUSTEES.

G. PRIOR BSC MEMBERS WHO HAVE LEFT THE CLUB IN GOOD STANDING, DUE TO WHATEVER PERSONAL REASONS, AND WISH TO REJOIN BSC MAY DO SO UPON AN ACCEPTANCE VOTE OF MEMBERSHIP WITHOUT HAVING TO PAY AN INITIATION FEE, BUT WILL BE CONSIDERED A NEW MEMBER. (See Article IV Section B regarding equity)

H. ACTIVE MEMBERS (INCLUDING "LIFETIME MEMBERS") HAVE FULL USE OF GROUNDS, RANGES AND FACILITIES. THE ALSO HAVE VOTING RIGHTS AND SHALL AQUIRE FULL EQUITY RIGHTS IN THE CLUB AFTER  FIVE (5) YEARS CONTINUOUS MEMBERSHIP. AN ACTIVE MEMBER WHO IS REMOVED FROM MEMBERSHIP DUE TO NON-PAYMENT OF DUES OR ASSESSMENTS, OR DUE TO EXPULSION, ET CETERA, SHALL FORFEIT ANY AND ALL CLAIMS OF EQUITY WITHIN BSC. 

I. A MEMBER'S SPOUSE AND CHILDREN UNDER EIGHTEEN (18) YEARS OF AGE WILL HAVE FULL USE OF CLUB GROUNDS AND FACILITIES, BUT SHALL HOLD NO VOTING PRIVILEGES OR EQUITY. ANY AND ALL MINORS ON CLUB GROUNDS MUST HAVE RESPONSIBLE ADULT SUPERVISION.

ARTICLE V. GUESTS

A. MEMBERS MUST SIGN ALL GUESTS IN AND OUT OF CLUB DAILY LOG AND ARE RESPONSIBLE FOR THE GUESTS' CONDUCT WHILE VISITING THE CLUB AND USING ANY OF THE CLUB FACILITIES. 

B. AN INDIVIDUAL MAY ONLY BE A GUEST TWO (2) TIMES. THE GUEST SHOULD THEN  BE ENCOURAGED TO JOIN THE CLUB. 

C. NO GUESTS ARE PERMITTED FOR THE PURPOSE OF HUNTING. 

ARTICLES VI. DUES AND ASSESSMENTS

A. DUES ARE ONE HUNDRED FORTY ($140.00) DOLLARS PER YEAR. 

 THERE WILL ALSO BE AN ADDITIONAL INITIAL APPLICATION FEE PER PERSON FOR ALL  NEW APPLICANTS OF $30.OO STARTING JANUARY 2022 FOR BACKGROUND CHECK PROVIDED TO THE CLUB   BY A-LIST INVESTIGATIVE SERVICES LLC. 

NEW APPLICANTS - DUES $140 + $30 = $170 FOR FIRST YEAR

CURRENT MEMBERS DUES $140 +  AFFIDAVIT FORM

B. MEMBERS LIVING ON PENSION OR DISABILITY WILL BE ELIGIBLE TO PAY FIFTY PERCENT (50%) OF REGULAR RATE. 

    (Seventy ($70.00) Dollars Per Year)

THERE WILL ALSO BE AN ADDITIONAL INITIAL APPLICATION FEE PER PERSON FOR ALL  NEW APPLICANTS OF $30.OO STARTING JANUARY 2022 FOR BACKGROUND CHECK PROVIDED TO THE CLUB   BY A-LIST INVESTIGATIVE SERVICES LLC. 

NEW APPLICANTS - DUES $70+ $30 = $100 FOR FIRST YEAR

CURRENT MEMBERS DUES $70 +  AFFIDAVIT FORM

C. MEMBERS HOLDING AN OFFICE SHALL BE ELIGIBLE TO PAY FIFTY PERCENT (50%) OF THE DUES RATE CURRENTLY PAID UNDER THIS ARTICLE AT SECTION A OR B.

D. ASSESSMENTS: IF THE CLUB FUNDS BECOME EXHAUSTED OR INADEQUATE TO MEET ITD OBLIGATIONS: 

A SPECIAL MEETING SHALL BE HELD WITH ALL MEMBERS NOTIFIED. AT THIS SPECIAL MEETING OPTIONS WILL BE DISCUSSED AND A VOTE TAKEN TO PLACE AN EQUAL ASSESSMENT ON EACH MEMBER, TO BE REPAID WHEN THE CLUB IS FINANCIALLY ABLE. 

E. AMOUNT OF ANNUAL DUES, ONE DAY MEMBERSHIPS, FEES AND INITIATION FEES SUBJECT TO CHANGE AT THE DISCRETION OF THE GOVERNING BODY AND GENERAL MEMBERSHIP. 

F. DUES MUST BE PAID BY THE JANUARY MEETING, A THIRTY (30) DAY GRACE PERIOD WILL BE GRANTED. IF DUES ARE NOT PAID BY THIS TIMES, HE/SHE WILL BE DISMISSED FROM THE CLUB.

G. MEMBERS NOT PAID BY THE FEBRUARY MEETING MUST BE REINSTATED BY MEMBERSHIP VOTE AS A NEW MEMBER. 

H. HARDSHIP CONSIDERATIONS WILL BE DISCUSSED AT A TRUSTEE MEETING FOR RECOMMENDATION TO THE MEMBERSHIP.

ARTICLES VII. OFFICERS

A. AT THE FIRST MEETING IN OCTOBER, OFFICERS WILL BE NOMINATED FOR THE COMING YEAR. THE NOVEMBER MEETING WILL ALSO BE OPEN FOR NOMINATIONS, NOMINATIONS WILL THEN BE CLOSED. OFFICERS WILL BE ELECTED AT THE DECEMBER GENERAL MEMBERSHIP MEETING. ALL BOOKS AND RECORDS SHALL BE TRANSFERRED TO THE NEW OFFICERS BEFORE THE NEXT REGULAR MEETING. 

B. NO MEMBER SHALL BE ELIGIBLE TO HOLD OFFICE UNTIL HE/SHE HAS BEEN AN ACTIVE MEMBER FOR ONE (1) YEAR. 

C. IN THE EVENT THAT A VACANCY SHOULD OCCUR IN ANY OFFICE, A SPECIAL MEETING SHALL BE CALLED FOR THE PURPOSE OF ELECTING A MEMBER TO FILL THE VACANCY. THE MEMBER ELECTED SHALL TAKE OFFICE AT ONCE. (See special meeting Article IX Section C.)

ARTICLE VIII. DUTIES OF OFFICERS

A. PRESIDENT: IT SHALL BE THE DUTY OF THE PRESIDENT TO PRESIDE AT ALL MEETINGS AND TO CALL ALL MEETINGS TO ORDER. HE/SHE SHALL INSPECT AND ANNOUNCE THE RESULTS OF ALL BALLOTING. HE/SHE SHALL APPOINT ALL COMMITTEES AND SEE THAT THE OFFICERS PERFORM THEIR DUTIES. HE/SHE SHALL NEVER VOTE EXCEPT IN CASE OF A TIE, THEN  SHALL  CAST THE DECIDING VOTE. HE/SHE SHALL HAVE GENERAL SUPERVISION OF ALL BUSINESS OF THE CLUB. HIS/HER OTHER DUTIES ARE TO BE FOUND IN THE CONSTITUTION AND BY-LAWS OF THE CLUB. 

B. VICE PRESIDENT: THE VICE PRESIDENT SHALL ASSIST THE PRESIDENT WHENEVER CALLED UPON. HE/SHE SHALL PRESIDE OVER MEETINGS IN THE ABSENCE OF THE PRESIDENT, HE/SHE SHALL HOLD WORK PARTIES AND ADMINISTER THE CLUB OATH. 

C. SECRETARY: THE SECRETARY SHALL KEEP THE MINUTES OF ALL MEETINGS, KEEP RECORDS OF MEMBERSHIP INCLUDING DATE THAT EACH MEMBER WAS FIRST ACCEPTED, MEETING ATTENDANCE,  AND MAKE SURE ALL MEMBERS HAVE SIGNED CURRENT BY-LAWS. HE/SHE SHALL MAKE AVAILABLE THESE RECORDS TO ALL OFFICERS, TRUSTEES, AND/OR MEMBERS UPON REQUEST. 

D. TREASURER: THE TREASURER SHALL BE ENTRUSTED WITH THE GENERAL FINANCES OF THE CLUB. HE/SHE SHALL DISBURSE ALL FUNDS BY CHECK, WHICH HE/SHE SHALL SIGN AND WILL BE COUNTER-SIGNED BY THE PRESIDENT OR VICE PRESIDENT.

E. TRUSTEES: THE TRUSTEES SHALL BE THE GOVERNING BODY OF THE CLUB. BETWEEN  REGULARLY SCHEDULED MEETINGS OF THE MEMBERSHIP THEY SHALL ACT IN ACCORDANCE WITH THE CONSTITUTION AND BY-LAWS. THEY SHALL ACT ONLY ON A MAJORITY VOTE OF THOSE SEVEN (7) OR MORE PRESENT. THEY SHALL UPDATE THE CLUB HISTORICAL FILES, CHECK CLUB INVENTORIES AND AUDITS, AND REPORT ACTIONS TO REGULAR MEMBERSHIP MEETINGS. 

F. THE GOVERNING BODY SHALL CONSIST OF: PRESIDENT, VICE PRESIDENT, SECRETARY. TREASURER, AND SIX (6) TRUSTEES- ONE (1) THREE-YEAR, TWO (2) TWO-YEAR, AND THREE (3) ONE-YEAR TERMS. THE OUTGOING PRESIDENT BECOMES ONE OF THE ONE YEAR TRUSTEES.

(SIX (6) TRUSTEES TOTAL) 

G. NO MEMBER MAY HOLD TWO (2) POSITIONS IN THE GOVERNING BODY.

ARTICLE IX. MEETINGS

A. BSC REGULAR MEETINGS WILL BE HELD THE FIRST SUNDAY OF EVERY MONTH (WITH THE EXCEPTION OF JULY & AUGUST), 7:00PM AT THE CLUBHOUSE. THE FEBRUARY REGULAR MEETING WILL BE HELD THE SECOND SUNDAY DUE TO THE SUPERBOWL SCHEDULE.

B. BOARD OF TRUSTEES MEETING TIMES WILL BE SET EACH YEAR BY THE NEW GOVERNING BODY. 

C. THE PRESIDENT MAY CALL A SPECIAL MEETING OF THE MEMBERSHIP UPON REQUEST OF AT LEAST TEN (10) MEMBERS OF THE CLUB. THE DATE AND SUBJECT OF SAID MEETING MUST BE MADE KNOWN TO ALL MEMBERS AT LEAST THREE (3) DAYS PRIOR TO THIS SPECIAL MEETING. 

D. FOUR (4) OFFICERS AND SIX (6) MEMBERS CONSTITUTES A QUORUM. (NUMBER THAT MUST BE PRESENT IN ORDER THAT BUSINESS CAN BE LEGALLY CONSTITUTE TRANSACTED.)

ARTICLE X. REMOVAL OF OFFICERS

A. SHOULD ANY OFFICER OR MEMBER OF A COMMITTEE NEGLECT OR BE FOUND INCOMPETENT TO DO HIS/HER DUTIES OF OFFICE, HE/SHE MAY BE REMOVED BY TWO-THIRDS (2/3) VOTE OF THE MEMBERSHIP PRESENT AT A REGULAR MEMBERSHIP MEETING. THE OFFICER OR MEMBER WILL BE SENT A LETTER NOTIFYING HIM/HER OF HIS/HER NEGLECT AND/OR REMOVAL.

ARTICLE XI. DISCIPLINARY ACTIONS

A. WARNINGS. SHOULD ANY MEMBER FIND ANOTHER MEMBER'S ACTIONS DETRIMENTAL TO THE SAFETY AND/OR WELFARE OF THE BSC OR ANY OF ITS MEMBERS OR GUESTS, HE/SHE SHOULD IMMEDIATELY CONTACT AN OFFICER OR BOARD OF TRUSTEES MEMBER. THE OFFICERS OR TRUSTEES MAY ISSUE A WARNING OR TAKE OTHER APPROPRIATE ACTION AS NECESSARY; HOWEVER SUCH ACTION MUST BE MADE KNOWN AND DISCUSSED AT THE NEXT MEMBERSHIP MEETING. 

B. SUSPENSIONS AND/OR EXPULSIONS. SHOULD THE BOARD OF TRUSTEES FIND IT NECESSARY TO SUSPEND OR EXPEL A MEMBER OR GUEST FROM THE CLUB, IT SHALL BE POSTED AND ALL MEMBERS NOTIFIED. ANY SUCH SUSPENSION OR EXPULSION MAY BE DISCUSSED AT THE NEXT MEMBERSHIP MEETING. 

ARTICLE XII. PROPERTY RIGHTS.

A. ALL PROPERTY AND/OR REAL ESTATE SHALL BE TAKEN, HELD OR SOLD IN THE NAME OF BUCKSHORN SPORTSMENS CLUB.

B. NO PROPERTY SHALL BE LEASED, SOLD OR MORTGAGED WITHOUT BEING VOTED ON AND PASSED BY AT LEAST A TWO-THIRDS (2/3) MAJORITY VOTE AT TWO (2) REGULAR CLUB MEETINGS. ALL MEMBERS MUST BE NOTIFIED WITHIN THIRTY (30) DAYS, BUT NOT LESS THAN SEVEN (7) DAYS PRIOR TO THE FIRST MEETING.

C. IN THE EVENT THE CLUB SHOULD DISBAND, ALL PROPERTY IN THE NAME OF THE CLUB SHALL BE PUT UP FOR SALE BY THE TRUSTEES. ALL DEBTS ARE TO BE PAID FROM THE PROCEEDS OF THE SALE. THE CASH BALANCE IS TO BE DIVIDED EQUALLY AMONG THE LIVING ACTIVE MEMBERS HOLDING EQUITY INCLUDING FULL "LIFETIME MEMBERS" OF THE CLUB.
